摘要
国际债券指一国政府金融机构、工商企业或国际金融组织在国外金融市场发行的债券。因债券跨国发行与交易涉及多国立法,因此,经常会发生法律冲突。债券跨国发行与交易法律适用包括债券条款、债券转让性、债券支付货币以及外汇管制规则的适用等方面。我国目前的债券跨国发行与交易的法律适用规则很不完善,亟需补足相关立法。
