Reflections on the Implement of Independent Director System

2001年8月16日,中国证监会发布了《关于在上市公司建立独立董事制度的指导意见》(以下简称《指导意见》),标志着独立董事制度在中国上市公司中开始全面铺开《指导意见》开宗明义地指出,建立独立董事制度,是为了"进一步完善上市公司治理结构,促进上市公司规范运作"然而,独立董事制度在我国推行在理论和我国现实中,在可行性和可能性的严密分析之下。

On August 16, 2001, Chinese Security Supervising Committee announced 'Instructions for the Establishment of Independent Director System in Public Companies', hereinafter refers to as 'Instructions', which is a landmark for the all-round starting of independent director system in China's public companies. 'Instructions' points out that to establish independent director system is to perfect and regulate the managing structure of public companies. This article discusses the problems in the establishment of independent director system by discussing the source and definition of independent director system as a start.
