公司对外担保分为关联担保和普通对外担保两种,是否允许公司设立普通对外担保在理论和实践中颇有争议。比较有关公司对外担保的理论学说,总结各国立法对此规定的一般规律,并结合我国立法对此问题的沿革和缺失,提出对我国现行立法的建议,对规范我国公司对外担保,促进我国公司制度完善发展有重要意义。

Company's foreign guarantees are classified into correlated guarantee and common guarantee. Whether a company is permitted to go on the common guarantee is very controversial. The analysis of the evolution and defects of the foreign guarantee leads to the suggestion for the current legislature. It is of great significance to the normalization of the foreign guarantee and the perfection and development of systemized company in China.
