独立董事制度的缺陷及完善

为解决上市公司监事会监督不力,我国引入了独立董事制度。目前由于我国资本市场的不完善,使得这一制度在实施过程中产生了许多问题,针对这些问题提出了建立独立董事协会等相应措施。

The system of independent director has been introduced from other countries by our government in order to solve the problem of poor supervision of supervisory board in some listed company. Many problems have arisen during the enforcement of the system. This paper introduces some corresponding countermeasures, such as founding an association of independent director, etc.
