论股份有限公司小股东的法律保护——兼论公司法修订草案的突破与不足

On Legal Protection of Minor Shareholders in Stock Corporations——Also on the Breakthrough and Shortcomings of The Revised Edition of Corporation Law

小股东的保护是公司及市场规范化的必然选择,在保护小股东的权利和防止股份有限公司资本多数决原则的滥用方面,新出台的《公司法修订草案》有较大突破但仍有不足,有必要进一步完善小股东的法律保护制度。

The protection of minor shareholders is a natural choice in the process of standardization of the corporation and the market. The newly publicized Revised Edition of Corporation Law has brought about an important breakthrough in the protection of minor shareholders' rights and the prevention of the abuse of the majority rule in the stock corporations. On the other hand, however, there still exist some shortcomings in the law.It is therefore necessary to further strengthen legal protection of minor shareholders.
