摘要
最初的公司法是一套组织法而不是行为法,因为公司法的基本作用在于确立公司的主体地位。但当公司被拟制为法律上的人的时候,就已经预示着公司的行为规范的设立只是迟早的事情。当公司的行为损害到社会公众的利益的时候,法律对公司行为的约束即成为一种普遍的社会现象。公司立法从组织法到行为法的转变过程,也就是公司权力的行使不断地受到限制的过程。公司权力的行使不仅取决于公司法或公司章程的规定,还取决于其他各种约束公司行为的法律规定。
Initial company law is a set of organization law instead of behavior law, because the basic role of company law lies in the main position of establishing company. But when company has been drafted the time of the person who makes on law, have indicated the specification of the behavior of company establish is sooner or later matter. When the behavior of company harms the benefit of social the public, the legal restraint for company's behavior becomes a kind of universal social phenomenon. Company's legislation goes to the change course of behavior law from organization law, is also company's power exercise the course that gets restriction continuously. Company's power exercise not only depend on the stipulation of company law or company's article, still depend on the legal stipulation of other various restraint company's behaviors.
