摘要
目前,我国的公有企业在一定程度上存在经营危机。公有企业存在的制度性弊端,以及由此而形成的结构性弊端,是众多企业形势恶化的根本性原因。管理者收购(MBO)就在这样的背景下与我国的公有企业改革进行的尝试性结合。公有企业实施MBO应注意产权界定与评估等问题以及所需的制度环境和法律环境。
At present crises of public-owned enterprises' operation exist in a se nse in China. With such context, MBO, as one of the new systems, has been tentat ively combined with the public-owned enterprise reform in China. During the impl ementation of MBO we should attach importance to the delimitation of property ri ghts, asset assessment, and the essential institutional and legal environment.
