董事会在公司治理中处于承上启下的核心地位,不同股权结构形态下的董事会作用是不同的,就需要一套相应的董事会制度来保证其作用的有效发挥。但现行的董事会制度存在一定的缺陷,致使董事会的治理效率普遍低下。有必要从理论上研究不同股权结构形态下,进行怎样的董事会制度创新,才能保证董事会的治理最有效率。

The board of directors is placed in the core position connecting link in the corporate governance.Under the different structure of ownership,the function of the board of directors is different so that a set of system must be made to guarantee its function developing effectively.But the current system of the board of directors has some defects so that the efficiency of the board of directors governance is very low.This paper researches how to make innovations on the board of directors to guarantee corporate governance the most efficient from the different structure of ownership angle.
