国有控股商业银行监督权配置问题研究

Research to the Allocation of the Supervisory Authority on State-owned Commercial Banks in China

本文首先通过提出一种新的企业观,并结合对股份制商业银行企业特性的分析说明了股份制商业银行应高度重视监督权的配置,接着,对我国现有的股份制商业银行的监督权配置的现状进行了考察并对其低效配置的原因进行了分析,最后,本文提出,可通过战略投资者委派监事这一新的监事会制度来完善我国国有控股商业银行监督权的配置。

This paper puts out a new viewpoint to the nature of the firm. According to the character of the joint-stock banks we should pay much attention to the allocation of the supervisory authority.After that,we study the current situation of the allocation of the supervisory authority in our joint-stock banks and analyse the reasons for the low efficiency of this allocation.Finally, we suggest that we should establish a new system of the board of supervisors, that is, the supervisors should be delegated by strategical investors.Consequently we can improve this situation of low efficiency of this allocation in joint-stock banks by this system.
