摘要
20世纪80年代以来,以美国为代表的公司重构成为全球化新时期世界企业经营管理的一个重要趋势。重构大体上沿着战略-结构-过程的思路进行,是从总体到局部的全面变革。值得重视的是,同为西方发达国家的德国、日本,其公司重构比美国晚了10~20年。这首先反映出德国、日本公司对环境变化的战略反应比美国迟缓,但更深层的原因是企业制度问题。本文通过比较研究德国、日本公司重构与美国公司重构的时间差异,探讨其背后的企业制度原因。
Since the 1980s, corporate restructuring developed by the US companies has characterized an important trend of management in the world. Following a strategy-structure-process approach, corporate restructuring has focused on readjusting the corporate strategy,reorganizing the corporate structure, and the restructure of the business portfolio, finance and organization of the corporate as a whole. Some research indicated that corporate restructuring in Germany and Japan happened 10-20 years later than that in the US.This article explores the reason why corporate restructuring has happened 10-20 years later in Germany and Japan than in the US.
