略论表见代理

在现实生活中经常会出现无授权之代理的情况,从法律后果来看,无授权之代理既有可能发生代理无效的后果,也有可能发生代理有效的后果。对于前者,大陆法系理论界通称为狭义的无权代理,即不发生属于有效代理的法律后果;对于后者,则称为表见代理,表见代理即被称视为有代理权之代理,将发生与有权代理一样的法律后果。表见代理作为一项重要的民事法律制度,在解决代理关系是否构成、代理责任如何承担的纷争方面发挥着重要的作用。本文试从表见代理的沿革,理论基础,遗留争论等方面进行探讨。
