Discussion on the Qualities of Independent Directors

独立董事从引入至今,我国理论和实务界都进行着广泛的研究和关注,但重点集中在其独立方面的制度设计,至于独立董事素质方面的探讨尚不成熟。本文由此展开,指出独立董事应具备“德”、“才”和“责”三方面的素质,这三方面彼此联系、层级递进,完整而有序的构建了独立董事素质的主要内容。

Since the independent director system was introduced, the theoretical field and the practical field in China have been concerning and studying it generally, however, the focus is mainly on the system design in respect of its independence. There are few discussions touching the quality of independent directors. From three respects---ability, morality and responsibility, this essay discusses the qualities independent directors should have. These three respects are interrelated and set by the ranking, and compose the basic content of qualities of independent directors.
