陕西上市公司董事会结构和公司绩效的实证分析

An Empirical Analysis on the Structure of Board of Directors and Firm Performance of Shaanxi Listed Firms

以陕西上市公司为样本,分析了陕西上市公司董事会结构与公司绩效的关系。通过数据分析,发现陕西上市公司董事会结构与公司绩效之间的相关性较差,这是由上市公司董事会的内生性不强造成的,陕西上市公司的董事会并没有在公司治理结构中发挥出主导作用。最后提出了我国上市公司董事会改革的相应政策建议。

This paper makes an empirical analysis on the relationship between the structure of board of directors and the firm performance of the listed firms in Shaanxi province. There is an evidence that the correlation between the structure of Board of Directors and the firm performance is poor. The cause is that the Board of Directors of Shaanxi listed firms has not come into being internally. The Board of Directors has not played the chief role in the corporate governance. On the basis of above analysis, the paper puts forward the relevant reform suggestions.
