我国上市公司治理结构不规范问题评析

On Irregular Problem of Governance Structure of Our Country’s Listed Company

我国上市公司治理结构主要存在股东大会召开时间和议事规则不规范、董事会决策不规范和监事会监督不规范等问题。这些问题的存在是由于股东和公司高层管理人员缺乏现代公司治理观念及市场体制不健全等原因造成的。本文通过对我国上市公司治理结构现状的分析，又结合国有上市公司的实际，提出了解决我国上市公司治理结构存在问题的建议。

The corporate governance structure of the listed company in our country mainly appears such problems as the irregular time for householder’s meeting,board’s irregular strategy,supervisor’s ir- regular super vision.These causes are due to the lack of the sence of moderm corporate governance and unsound market mechanism.This article offers the suggestions and countermeasures in the face of the current situation and problems of the corporate governance.
