由于目前中国上市公司大部分是由国有企业转制而来,所以存在许多问题.诸如:股权结构不合理,政府职能'缺位'、'越位'和'错位',法律自我实施机制尚不健全,投资者诉诸司法救济仍存障碍,公司运作的内部人控制和市场为基础的外部治理机制发育不全,信息披露的实际质量难以保征,缺乏成熟的受托责任和社会文化、新闻舆论和社会公众监督不足等.本文对解决这些向题提出多项对策.
Since most of the present listed companies in china were reformed from state-owned enterprises, there are many problems about listed companies. Such as unreasonable fabric of stock right, omission of governmental function,imperfect implement system of law, obstacles to judicial aid for investors, imperfect environmental renovating system based on market, insiders'control on company operation, lack of news authenticity, lack of mature social culture, lack of public consensus supervises, etc. Many countermeasures are brought forward in this article.
