中西方独立董事制度比较

A Comparative Study of Independent Director System in Chinese and Western Listed Companies

通过对中西方独立董事制度进行比较,认为我国在实践中存在着独立董事独立性不够、独立董事与监事会关系职能重叠及监管力度不够等问题。应采取营造独立董事制度成长的良好外部环境、建立和完善独立董事及相关法律法规建设、独立董事制度的引入不应脱离中国国情以及独立董事的选择制度应科学透明等措施,进一步发展和完善我国独立董事制度。

This thesis compares the independent director system in China with that in the Western countries and concludes that problems like the lack of functioning right on the independent director,the overlapping functions between him and the supervisory panel have led to weakness in supervision so far. It recommends that the government should improve laws and regulation concerning function of independent director system on China's reality and carry out efficient and transparent selection of applicants so that the system can function well in China.
