本文研究公司设立中的几个重要法律问题。笔者通过分析发起人在公司设立中的责任, 设立中公司的地位,以及设立中公司对发起人责任的承担等几个方面,试图对设立中公司的几个热点问题提出自己的一些见解。

This article focuses on a few hot issues arising from the incorporation process, studies the obligation of the initiators during the incorporation, the status of an incorporating corporation, and the necessary responsibility that an incorporating corporation should undertake for its imitators etc. Author tries to find out a way to solve the incorporation problem through comparison of the Chinese and western corporation law and analysis of the domestic situation.
