国有控股公司董事会治理结构探析

A Study on the Governance by the Board of Directors in the State-owned Holding Company

国有控股公司治理结构的核心是董事会治理。董事会设立的目的是完善公司治理结构,形成有效的公司内部权力制衡机制。本文从现实出发,找出了董事会成员、机构设置及职权等方面存在的问题;并就存在的问题提出了完善董事会治理的对策,从而充分发挥董事会的职能。

The core of the corporate governance is the board of director goverance in the state-owned holding company. The purpose that the board of directors sets up is to perfect corporate governance and to balance power mechanism. In this paper, we find out the problems that exist, including organization structure and function. At last, we come up with some positive suggestions on solving the problems.
