The improvement of Chinese investment environment makes more and more trans-corporations regard China as their investment's target.The foreign capital mergers and acquisitions,as the main way of trans-corporation investment, have enormous development space in China.China also hopes more trans-corporations with outstanding strengths invest in the way of mergers and acquisitions.Chinese and foreign companies,mainly considering from its one's own interests,are also on common ground.From the angle of Chinese company,the paper analyses the functional mechanism of foreign capital merger during the process of improving company's performance,and concludes that the foreign capital mergers and acquisitions improve the company's value and performance by improving on the company governance structure.
