The Share-holding System:A Vital Decision in the Establishment of a Modern Business Enterprise System

研究了在建立现代企业制度过程中，对国有企业进行股份制改造的意义以及首先要解决的问题，认为将国有企业改造成股份公司，有助于重塑国家和企业的关系，促进政企分开，使企业自负盈亏，提高效益。指出股份制改造是一个复杂的系统工程，有三个问题要首先解决好，即债务问题、富余人员安置问题以及产权的自由流动问题。

This reseanch studies the establishment of a modern and svstematic state-ownedenterprise and its movement towards a share-holding system. It also examines the three issuesinvolved in the making of a successful transition from a state-owned system to a share-holdingsystem,and the significance of such a system change. The author believes that the adoption ofashare-holding system will improve the relationship between the state and enterprises,aid theseparation of power between the government and enterprises, and increase the financial in-dependence, and thus the efficiency of the enterprise. The task of establishing a share-holdingsystem is a complex and arduous one. The resolution of the thsee issues involved are as fol-lows:(1)the issue of debt;(2) the issue of excess labor;(3)the issue of property rights inbusiness exchange.[
