独立董事更迭影响因素的实证研究

Empirical Research on the Determinants of Independent Director's Replacement

本文以中国上市公司为样本,采用实证研究方法,在国内外首次以EVA表示公司业绩,研究国内独立董事更迭的影响因素。研究发现独立董事更迭受公司业绩、诉讼仲裁事件和独立董事工作时间等因素影响。本文最终对2003年度报告中独立董事更迭原因属于"模糊原因"的上市公司作了进一步研究,发现了"模糊原因"背后隐藏的其它原因。

Taking samples from Chinese listed companies, the article studies the determinants of independent director＇s replacement with empirical research method, and the EVA firstly denotes the performance of company domestic and overseas, It derives the conclusion that the performance, lawsuit ＆ arbitration and working hours are the determinants of independent director＇s replacement. It makes a further research on the listed companies with ambiguous reasons for independent director＇s replacement in 2003 report, and finds out the hidden reasons behind the disclosed ones.
