摘要
国有资产授权经营不同于国有资产的经营权或法人所有权。现行国有资产授权经营制度中的核心关系应当是信托法律关系。针对现行制度中的诸多不足,提出改革建议:完善受托人选任制度;建立受托人财产隔离制度和受托人破产隔离制度;确认公司和企业对其经营的国有资产的所有权,促使国家对国有资产的经营由实物控制转向价值形态控制;强化国有资产授权经营过程中的法律责任,特别是完善民事责任体系。
The authorized operation of state - owned property is different from management right of state -owned property or corporate ownership. The core of current authorized operation of state - owned property relation is a kind of trust . This article pointed out those defects in this arrangement and proposed several suggestions such as the perfection of selection mechanics of trustees, establishment of seclusion systems of trustee＇ s property and bankruptcy, strengthening of legal liability in this process, especially the perfection of civil liability system, etc.
