浅谈中小股东权益受侵犯现状及其对策

View About the Present Condition and its Strategy of Medium—small Shareholder Rights Infringed

在我国证券市场还不完善,各项制度不十分健全的情况下,上市公司控股股东凭借其绝对优势,在各项事务中一手遮天,中小股东权益长期受其侵犯;就目前状况来看,这种情况有愈演愈烈之势。本文通过分析此问题的现实表现,发现其主要原因在于中小股东自身实力单薄,上市公司股权结构不合理,相关法律不建全等。根据我国中小股东权益问题现状,本文建议应采取建立合理的股权结构,完善独立董事制度、基金机构,健全《公司法》、《证券法》等各项具体措施。

Small and middle shareholders＇ interest has been exploited by big shareholders for a long time and this ease is becoming harder and harder. After serious research, the cause of this lies in lower position, irrational structure of capital and laws. According to the actuality of China, agencies should build rational structure of capital, completed laws and self-help director.
