Abstract It is of great importance for the innovation of State owned enterprise system and hence the difficult point.It is not the natural evolution of a enterprise system but the reestablishment of enterprise system on the abolishing of traditional factory system.It is not the innovation of enterprise system under a perfect market environment but a reform of enterprise system side by side with the growth of market system.It is not the adjustment or modification of property right structure under a clear property right relations but to frame certain modern property right structure while streamling the property right relational It is not a kind of enterprise reorganization to meet the requirement of market modifcation, but a thorough overhaul of enterprise and taking it as the mainbody of fostering market.This peper analyzes the various difficulties from 8 respects faced by the State owned enterprise system.
