论商事主体判定标准的立法选择

商事主体资格的判定对于商事法律关系的建构和商事特别法律的适用意义重大,但我国关于商事主体的理论认知和立法现状却难以有效解决现实中缤纷复杂的商事主体资格判断问题。各国商事立法关于商事主体的判定标准的规定不一而足,但对于以商事行为能力为表征的理性的判定是制度构造的核心。理性判定的方式包括法律判定和事实判定。我国未来的商事主体立法应当按照是否存在有限责任为标准分别采用法律判定和事实判定的方式。
