独立董事制度与我国的公司治理

改革现行公司治理结构是我国《公司法》修改的重点课题之一。90年代起,我国对建立独立董事制度进行了尝试。2001年8月16日,证监会发布了《关于在上市公司建立独立董事制度的指导意见》,该意见是我国首部关于在上市公司设立独立董事的规范性文件,是证监会通过建立独立董事制度来规范公司内控制度的最全面的措施,标志着我国上市公司正式全面执行独立董事制度。意见出台至今,我国独立董事制度的建立和运行可谓有悲有喜,学者们也就此提出了不少建议和观点。公司法修订在即,如何在新公司法中构建我国公司治理结构,这是个重要的问题。

It is one of the key subjects that our country＇ s “company law” revises to reform the current company＇ s administration structure. Since the 1990s, our country tried to set up an independent director＇s system. On August 16 , 2001, the stock supervisory committee released“the instruction about setting up the independent director＇ s system in the listed company”, this suggestion is the first regulatory file about setting up the independent director in the listed company of our country, it is the stock supervisory committee that standardizes the most overall measures in the company through setting up independent director＇s system, indicating that the listed company of our country implements integrally the independent director＇s system formally. Since the suggestion issued so far, the setting-up and operation of the independent director＇s system of our country may be said neither good nor sad , the scholars put forward many proposals and views to this too. In the meantime, Company law will be revised shortly, how to restructure company＇ s administration structure of our country in the new company law will still be an important problem.
