国有企业新型公司治理结构问题及改革探析

Analysis on Problems and Reform of Corporate Governance in New Type of SOEs

国有企业公司治理结构的完善一直是改革的重点之一。随着国企现代企业制度的确立,这一问题从形式上可以说已经得到解决。然而,2004年一系列问题的出现充分说明,公司治理结构在国企中还未真正确立,或者说是出现了一些新的问题。国有公司治理低效的根源是产权问题,因此,只有在产权改革的基础上才能建立真正有效的公司治理结构。

The perfect of corporate governance is of great importance in SOEs reform. The establishment of modern enterprise system in SOEs is still at the primary stage, and there are still a lot of problems to be solved. The core reason of low efficiency in SOEs lies in property rights. The paper argues that the effective corporate governance in SOEs should be based on the reform property rights reform.
