摘要
我国现有上市公司中的大部分是由原国有企业或其他政府控制的实体重组改制而成。其公司治理存在:股权高度集中、董事会独立性不强、监事会作用未能得到有效发挥、经理服务市场缺乏和激励约束机制扭曲等共性问题。改善我国公司治理的现状可以从降低股权集中度;增强董事会的功能;完善人才、激励以及监督机制等方面努力。
Most corporations in China are developed from original state-owned enterprises or other government entities which are reconstituted and strypped-down. There are many problems in the corporation's management, such as the shares are highly centralized, the board is lack in independence, the board of supervisors is inefficient, the lack of the manager service market, and the distortion of the competition-restrlction mechanism and so on. We can improve the circumstance of the corporation's management mechanism in cutting down the rate of share-centralization, reinforcing the function of the board, consummating the talented man, competition, and control mechanism.
