独立董事制度在我国目前仅处于试点阶段,政府对此制度仅采取许可而非鼓励的态度。本文从独立董事制度的内涵、发展]变过程及我国实行该制度的意义与存在的问题等方面进行分析,并从完善独立董事选任机制、强化独立董事资格认定、协调与监事会的关系等方面进行初步探讨。

The independent director＇s system is only at pilot stage at present in our country, the government on- ly takes the attitude of permitting but not encouraging to this system. This text develops from independent director intension, development of system course and our country implement meaning and existing problem respect of system, and carries on the preliminary discussion from perfecting independent director select mechanism of letting, strengthening independent director qualification assert, coordinating the relations of and board of supervisors.
