商业秘密构成要件新探

New Discussion on Composing Element of Trade Secret

商业秘密的构成要件在立法上存在一定的差异,在学说上也纷杂不一:有三要件说、四要件说、五要件说等不同的观点.从严谨、科学的角度而言,商业秘密的构成要件应为秘密性、价值性和保密性三个独立的不可缺少的要件,实用性、新颖性和不违反公共利益等不应作为商业秘密的构成要件.

Composing element of trade secret is different in different legislation, and in theory there are various viewpoints such as three-element-theory, four-element-theory, five-element-theory. Strictly and scientifically speaking, composing element of trade secret should be three independent elements： being secret, being valuable, keeping secret. And being novel, being useful and non-violation of public benefit should not be regarded as composing element of trade secret.
