欧美日企业并购规制的比较研究

Comparative Study of Enterprise's M&A Regulations of European Union,USA and Japan

欧美日国家(地区)的并购规制比较完善,通过对比分析,发现这些并购规制既有相类似的地方,也有很多不同之处。本文就这些规制的主要相同点和不同点进行详细的分析与描述,并在此基础上总结得出了一些有益的启示。我们认为,随着我国经济融入世界经济程度的加深和我国企业并购活动的不断发展,制定一套统一而具有权威性的企业并购法规已显得十分必要。

The M＆A regulations of European Union, USA and Japan are more perfect in the world. By means of analysis, we find that th^e regulations not only have analogous aspects, but also have different aspects. The paper comparatively analyses all thee aspects in details, on the basis of analysis, we get some benefic enlightments. We think, it is necessary to ~tablish a .set of unitary and authoritative M＆A regulations in the deepening of the fusion of China＇ economy and global economy as well as in the unceasing development of M＆A action of China＇ enterprises.
