公司制是我国国有大中型企业改革的方向,而公司法人治理结构是公司制的核心。我国公司法人治理结构仍然存在着股权结构不合理,所有者“缺位”,董事会、监事会、经理层产生不规范,董事、监事、经理素质低下,没有形式有效的激励、约束机制,发挥作用不充分等一系列问题。所以应强调实行投资主体多元化,改革国有资产管理体制,完善股东大会、董事会、监事会产生的规范性,充分发挥各自的职权,提高董事、监事、经理的素质,实行外部董事、监事制度,完善经理聘任制,建立董事长、总经理分离机制,更好利用激励机制、约束机制,调动董事、经理、监事的积极性,以此提高公司的经济效益。

However , this kind of structure in our country still has a lot of disadvantages , such as unreasonable stock ownership structure , the lack of ouner and the irregular layer of directors, supervisors and managers; moreover, the directors, supervisors and managers have poor qualities , and there are a series of problems which don＇ t form efficient system of encouragements and imitations. Thus, the investment part muhiplieity and variety , reforming the administration system of rational property should be reformed. The board of stock holders directors and the supervisors. The qualities of the directors supervisors, and manager need improved,carry out the outside directors supervisors system perfecting the manager appointment system, setting up divided system of the trustee and chief managers by making better use of the encouragement and limitation system, mobilizing the enthusiasm of directors managers and supervisors. Thus the company can make benefits from improvement of economy.
