商法的现代化与商事登记制度

Modernization of Commercial Laws and System of Commercial Registration

商事主体资格的宽泛化、商事组织形式的多样化、商事行为的普遍化、商事规则的弹性化和商法内容的公法化是现代商法的主要特征。由此决定了我国商事登记制度的构建必须实行商事登记的强制主义与自由主义相结合、制定统一商事登记法、重视程序性立法、实行行政性登记管理、简化商事登记程序、采取分类登记制度、强化商事登记效力等原则。

This article points out that the main features of commercial laws are extensive criteria of qualification of commercial subjects,diversity in forms of commercial organizations,commonness of commercial conducts,increasing flexibility of commercial regulations and have more contents of public law.In order to establish a system of commercial registration in China,we should1 take into account of both the compulsory and liberal quality of commercial registration;2 formulate a unified commercial registration law;3 lay stress on legislation procedures;4 establish administrative management on commercial registration;5 adopt a categorized registration system;6 reinforce effects of commercial registration.
