摘要
知识因素对企业间研发合作组织模式的选择起着重要作用,恰当的组织安排可以降低研发合作的交易成本,减小交易中的道德风险并遏制机会主义行为.从知识四个方面的特性,即可编码性、交互作用、生命周期以及范围出发,论述了知识与企业间研发合作的两种类型即股权式合作形式以及契约式合作形式之间的匹配关系.当研发合作的知识具有可编码性、互补性、范围较窄情况下,研发合作组织倾向于采用契约式形式;当研发合作的知识具有不可编码性、协同性、范围较宽情况下,研发合作的组织倾向于采用股权式形式.对于知识生命周期的不同阶段,采用股权式合作形式的概率大致不变,而采用契约式合作形式的变化幅度较大.
Knowledge is an important factor for the use of different organizational modes of inter-firm R＆D cooperation, which can be used to overcome the opportunism and moral hazard in the transaction. It aims to explain the four factors of knowledge （codifiability, interaction, life cycle, and scope） and their influences on the choice of the two organizational modes-Joint Ventures（JV） and Contractual Agreements （CA）. When the knowledge is codified, complemental＇ and has a narrow scope, the organizational form-CA is preferred; when the knowledge is non-codified, synergistic and has a wide scope, the organizational form-JZ is preferred. During the different life cycle stage of the knowledge, the use of the JV is appeared to be stahle and the use of CA is changed consideralbly.
