Insufficient Legislate and Prefect Suggestion of No.49 in Contract Law

因我国合同法第49条关于表见代理的规定过于原则,为此,不仅理论上存在较大的争论与分歧,而且司法实践中也因缺乏统一的认定标准,造成具体理解运用的混乱。就此分析现行立法的不足,着重从被代理人的过错是否可以作为表见代理的构成要件的角度进行阐述,并提出进一步完善的建议。

The stipulate of in No.49 is over principle. So there exists some dispute and difference in theory, and in the practice there isn＇t the commonly standard. Because of this, some confusions are produced. This paper analyzes the insufficiency of the legislate and proposes the further suggestions from the angle that the agent＇s mistake may form the factors of the agency by eftoppel.
