公司制是现代企业制度的有效组织形式,公司法人治理结构是公司制的核心。建立具有中国特色的公司法人治理结构是我国企业进行股份制改革的目标之一。我国现行立法对公司法人治理结构的设计存在着诸多缺陷,因而造成了实务中公司法人治理结构的形式化。为健全和完善我国公司法人治理结构,我国立法机关应尽快修改与完善公司法有关公司法人治理结构构建的相关内容。

There are lots of defects in the design of the Corporate Governance Structure in the current legislation of our has caused the formalization of the Corporate Governance Structure in practice. In order rate Governance Structure of our country, the legislature of our country should revise and tents of the Corporate Governance Structure in company law as soon as possible.
