证券法律制度设计之检讨

On Appraisal of the Designing of the Securities Law System

为了保护中小投资者的合法权益,维护证券市场的发展与繁荣,我国证券法设计了分业经营、分业管理制度、证券发行核准制度、信息披露制度、强制收购制度、证券监管制度和法律责任制度。但由于各种原因,这些法律制度还存在各种缺陷,需要进一步修改和完善。

The securities law designs legal system in order to protect the lawful rights and interests of the middle and little investors and maintain the development and booming of the securities market. These legal systems include ： engaging and administration of securities business separate from the banking business, trust business and insurance business, the verification of public offers of shares, disclosure of information , takeover of listed companies, securities regulatory and legal liability. However,as to all kinds of reasons,these legal systems still exist lots of flaws, and so needed to be improved and perfected increasingly.
