完善我国公司治理结构下的独立董事制度

独立董事制度的建立,对于改善目前我国上市公司治理结构缺陷有重大意义。但是由于我国引入独立董事制度的时间较短,各种配套制度和外部环境还不完善,这在一定程度上制约了独立董事作用的充分发挥。文章对如何充分发挥独立董事的作用提出了一些完善与改进的措施。
