英、美国家与俄罗斯、东欧国家的管理层收购模式存在较大的差异。基于管理层收购的实践,结合管理层收购的效率论与财富转移论,开展两种管理层收购模式的比较研究,有利于对正陷入困境的我国管理层收购的现实给予一定的诠释,同时也有利于为我国管理层收购提供许多有益的启示和拓展我们走出管理层收购困境的思路。

There is great difference between the two Management Buy-out modes. Based on the practice, the efficiency increases theory and the wealth transfer theory of Management Buy-out,the paper makes a comparative study on Management Buy-out. It not only partly expounds the reality of our country＇s Management Buy-out which is now in a dilemma,but also gives much beneficial enlightment to the Management Buy-out of our country. What＇s more,it enlarges our way of getting out of the dilemma.
