摘要
在我国《公司法》修改之际,探讨了我国公司资本制度存在的一些缺陷,并建议从以下几个方面予以完善:用折衷资本制取代法定资本制;出资形式由法定变更为法定与约定共同使用;降低最低资本限制。
In the moment of the modification of the Company Act of China, this paper mainly discusses on some deficiencies exist in the our country＇s company capital system, and offers some suggestions from several aspect for making perfection such as replacing legal capital system with the compromise capital system, changing the financial contribution from only using the legal form into using the legal and previously arranged forms commonly, and reducing the lowest capital restriction.
