It is of practical significance to Chinese corporate governance reformation that the independent director system is established in China. Therefore, this system has exposed some problems and defects in system design and in the process of the independent director system in Chinese listed Companies, which makes the independent director to hardly play the part of independence and balance. Therefore, it is necessary for us to analysis the actualities and structure defects of the independent director system, and probe into the effective ways to perfect the independent director system in China.
