引入独立董事制度,是完善公司治理结构的一项制度选择。本文从独立董事制度起源入手,分析我国引入独立董事制度中存在的问题,并从独立董事发挥作用的外部客观环境、选任机制、激励和保障机制、监督和约束机制、与监事会关系以及培育成熟的独立董事人才市场等方面论述应如何完善该制度。

It is a selection to perfect corporate governance by introducing independent director system. In light of the origin of independent director system, this article analyzes the problems in introducing the system into China. It also discusses how to perfect the system from the following perspectives： external objective environment, selection and appointment system, incentive and guarantee system, supervision and check system, the relations with the board of supervision and how to form a ripe market for the independent directors.
