摘要
国企改革已走过了10多年的历程,在总结本国经验和借鉴外国经验的基础上,国有控股公司的治理结构日益完善,如国有控股公司治理方面的法制建设逐步健全、大部分国有控股公司已经建立了内部分权控制和外部约束监督机制相结合的治理结构。但还是存在着许多不足的地方,如《公司法》所构建的国有控股公司治理结构主体范围过窄、国有控股公司董事会、监事会制度不完全适应现在国有控股公司的治理结构、对国有控股公司经营者缺乏有效的激励约束机制,等等。要进一步完善国有控股公司的治理结构,应该从以下几个方面入手:一是完善董事会、独立董事、监事会制度;二是完善对经营者的激励和约束机制;三是建立公司外部治理与内部治理互动的机制;四是重视员工在国有控股公司治理结构中的作用;五是要以股权分置改革为契机,推动上市国有控股公司完善治理结构。
The governance structure of state-owned enterprise is to be perfected steadily on the basis of summarizing domestic experience and using foreign experience for reference. For example, the legal system of govemance is strengthened step by step, and a large part of state- control corporations have established the governance structure of the combination of internal control on the dispersed right and external supervision mechanism. However,it is far from been perfected. For example,the range of the subject of the governance structure of state-owned enterprise provided on the "company law of the People's Republic of China" is too narrow ,the board and the supervisory conference system does not match with the governance structure well, and the impellment and constraint mechanism is not effective for the operator. In order to perfect the governance structure of state- owned enterprise, we should start with several following respects. First, improve the board of directors, independent director, system of supervisory board ; Second, perfect the impellment and constraint mechanism ;Third, set up the interplay mechanism of internal governance and external supervision;Forth, pay attenion to staff's function in the governance structure of state- owned enterprise;Fifth, take the opportunity of the splitshare reform to promote the perfection of governance structure of the listed state- control company.
