企业相机治理、破产制度与债权人作用——兼论中国破产制度的缺陷及其改革建议

Contingent Governance, Bankruptcy and Creditors＇ Status——The Defect of the Bankruptcy System in China and Suggestion on Its reform

从债权人的积极作用及其作用的相机治理机制出发，研究企业进入非正常经营状态，即进入破产程序后引发的债权人发挥积极作用的破产制度的有效性。由于中国破产制度目标模式的限制，债权人的相机治理机制无法落实，导致破产制度的效率不能够充分发挥，也使债权人处于十分不利的地位。由此，需要对我国破产制度进行彻底的改革，树立债权神圣原则，提高债权人地位，从而最大化整个社会的利益。

Beginning with the positive function of creditors and its functionary mechanism of contingent governance, the eftect of the bankruptcy institution due to the positive function of creditors is illustrated. Because of limitation of the bankruptcy in China, the contingent governance mechanism of creditors can＇t be put into effect, and this leads to the inefficacy of the bankruptcy institution and the disadvantage of creditors. Therefore, the bankruptcy institution in China needs to be reformed in order to reach the maximum of the interest of the whole society.
