目前我国独立董事制度所存在的问题及对策研究

独立董事制度在我国上市公司治理中发挥着十分重要的作用,但由于独立董事的选择机制不完善、独立董事在企业中的角色定位不准确、独立董事在履行职责的过程中缺乏相应的保障等因素的制约,目前我国独立董事制度还存在一定的问题,只有采取相应的对策,才能使我国的独立董事制度建设走向规范化,我国的公司治理也得以更加完善。

The independent director system plays an important role in the corporate governance. However, the system is limited by some factors such as imperfection in the selective system of independent director, no-precision in the orientation of what actor sole board functions and scarcity of relevant guarantee in the course of sole board carrying on its duty, presently, it still has some problems. Only when some policies are taken ,can the independent director system of china be realized normalization and administration of corporation be improved more perfectly too.
