An Analysis on the Right to Know of Shareholders of Limited Companies

有限责任公司股东利益的保护没有受到与股份有限公司特别是上市公司同等程度的社会关注,尤其是有限责任公司股东知情权的法律保护问题,远远没有引起立法机关和学界的重视。法院在处理股东知情权诉讼上的认识不尽一致,有碍公平与正义的实现。文章对股东知情权的范围、实现途径、行使时间、司法救济体系做了阐述,并提出建立救济股东知情权保护机制。

Compared to limited companies, especially listed companies, the protection of interest of the shareholders don＇ t get enough social attention, and the legal protection of shareholders＇ right to know has not gained enough emphasis from legislature and academia. Courts have different understanding in dealing with the lawsuits concerning shareholders right to know, which hinders the practice of justice. This article has explained the range, realizing means, exercising time and the justice administration relieving system and proposed a system to protect shareholders＇ right to know.
