本文对影响产学研合作利益机制的因素作了扼要说明，对合作的利益机制框架进行了构建。提出构建原则以及应采取的利益分配方式，并对知识产权的归属与保护进行探讨。最后，有针对性地提出完善产学研合作利益机制的对策和措施。

This article analyses the subject element,object element and cognate element whichinfluences the benefit mechanism and the construction of the cooperation between industyand academica. It advances the constructive principle and the way for the benefit distribution in cooperational models and the knowledge property rights' belonging and protection.Finally,it advances the way to optimize the benefit mechanism of cooperation in light ofthe analysis and research.
