国有企业产权制度改革研究

Researches on Property Right System Reform

由郎咸平引发的国企产权制度改革大讨论不仅在经济层面争论激烈,还扩展到社会层面及政治层面,其提出的观点不被主流经济学家所认同却得到了绝大多数公众的共鸣,这不由得令人关注。该文以此为契机,对我国历年来的关于国有企业制度改革的理论研究文献进行了梳理。其结果表明国有企业制度改革在经过了承包责任制、股份制改造、产权制度改革的路径选择之后,应该考虑如何完善职业经理人制度、信托制度等基础性制度安排。在国企改制过程中出现的一系列国有资产的流失现象,凸显出我国现阶段基础性法律、制度和契约的严肃性和有效性十分薄弱。国有企业改革问题是一个“公共选择”问题,需要法学家、社会学家、哲学家、政治学家、经济学家以及诸多社会群体的共同参与。

The hot debate about the state-owned enterprises＇ property right system reform, initialized by LANG Xian-ping, not only has raised mainstream economics level but also expand to social levels, it＇s the standpoint refused by main current economist but accepted by the great majority public, so we have to paying attention tO. From this starting point, the author has made research on the theories and documentations of the reform of state-owned enterprises through out the years, and discovered that how to improve the professional manager system and trusteeship management should be taken into consideration, after the duty system reforms, share system reforms, the property right system reform. The draining of state assets addressed during the process of state-owned enterprise reform highlighted the problem of a weak, unfaithful, and inefficient operation of current basic legal, institution and contractual system. State-owned business enterprise reformation problem is a ＂public choice＂ problem, need the jurist, sociologist, philosopher, politician, economist and many social communities to participate in.
