摘要
要约收购是现代公司制度中普遍的、有效的公司重组方式。如何规范上市公司要约收购,保护目标公司全体股东特别是中小股东的利益,既是立法要解决的问题,也是司法实务应当关注的问题。本文围绕上市公司要约收购中对中小股东利益的保护,阐述了上市公司要约收购中对目标公司中小股东进行保护的必要性及具体措施,进而提出了一些完善这方面立法的建议。
