Comparison of Corporate Governance Modes in the World and Its Enlightenment

公司治理的研究热潮于20世纪80年代首先在美国兴起,随后席卷各国。到目前为止,公司治理已成为国际性研究热点之一。本文在对公司治理的内涵和特征进行介绍的基础上,对学界公认的两种主要公司治理模式进行比较,总结其各自特点,并提出对我国公司治理改革有益的几点建议。

Since the study on corporate governance sprang up in America in 1980s, it has rapidly swept across the world. Up to now, corporate governance has become one of popular studies in the world. This paper, based on the meaning and characteristics of corporate governance, discusses two popular corporate governance modes in academic circles and summarizes their respective characteristics. Finally, some useful suggestions are presented on the corporate governance reform in China.
